Terms of service (Public Offer)
1. General Provisions
This document constitutes a public offer made by Individual Entrepreneur Kadreva Veronika Arkadiivna, duly registered under the laws of Ukraine and operating under the commercial name “Archi Room” (hereinafter referred to as the “Contractor”), to enter into a service agreement with any individual or legal entity (hereinafter referred to as the “Client”).
Payment of an invoice, confirmation of a project brief, or placing an order constitutes full and unconditional acceptance of these Terms.
Upon acceptance, the agreement shall be considered concluded without signing a separate written contract.
2. Scope of Services
The Contractor provides:

Architectural 3D visualization
-
Interior visualization
-
Exterior visualization
-
Animation
-
Concept design
-
Image post-production
The Contractor does not provide engineering calculations, structural design, construction documentation, or technical expertise unless expressly agreed in writing.
3. Order Procedure
A project is initiated upon approval of the brief and issuance of an invoice.
Work begins after receipt of at least 50% advance payment.
All essential terms (scope, deadlines, price) are confirmed via electronic correspondence and/or invoice.
Payment of the invoice constitutes acceptance of these Terms.
4. Payment

Advance payment: 50% to 100%

Payment via bank transfer or other agreed method

Currency: USD (United States Dollar) / EUR (Euro) / UAH (Ukrainian Hryvnia)
The Contractor operates under the simplified taxation system (Single Tax, Group 3, without VAT).
No work shall commence without confirmed payment.
Payment of the invoice constitutes full acceptance of these Terms.
5. Revisions
Two (2) revision rounds per image are included.
Major scope changes are subject to additional fees.
6. Deadlines
Deadlines may be extended due to delays in client input or force majeure.
7. Client Responsibilities
The Client must provide accurate drawings, references, and timely feedback.
8. Intellectual Property
Upon full payment, the Client receives a non-exclusive right to use final deliverables.
The Contractor retains authorship and portfolio rights.
Source files are not transferred unless separately agreed.
9. Confidentiality
Confidential information shall not be disclosed unless required by law.
10. Limitation of Liability
The Contractor is not liable for indirect damages, lost profits, construction errors, or discrepancies between visualization and final construction.
Total liability shall not exceed the amount paid for the specific project.
11. No Refund Policy
If the Client cancels after advance payment and work has commenced, the advance payment is non-refundable.
12. Force Majeure
The Contractor shall not be liable for full or partial failure to perform obligations or for delays in performance if such failure or delay results from force majeure circumstances arising after the conclusion of the agreement and beyond the Contractor’s reasonable control.
Force majeure circumstances include, but are not limited to:

military actions, armed conflict, mobilization;

state of emergency or martial law;
-
missile attacks or hostilities;
-
power outages;
-
internet disruption or loss of connectivity;
-
cyberattacks;
-
actions or decisions of governmental authorities;
-
banking system failures;
-
any other events beyond the Contractor’s reasonable control.
In the event of force majeure, performance deadlines shall be extended for the duration of such circumstances.
13. Governing Law
These Terms are governed by the laws of Ukraine.
